Affiliate Program Operating Agreement

This Affiliate Program Operating Agreement (“Operating Agreement”) contains the terms and conditions that govern your participation in the Affiliate Program (the “Program”). “We,” “us,” “our,” or “Partner Site” means Summa Finland Oy. “You” or “your” means the affiliate applicant. The Program is operated through the GoAffPro affiliate tracking software.

BY SUBMITTING AN APPLICATION OR PARTICIPATING IN THE PROGRAM, YOU AGREE TO BE BOUND BY THIS OPERATING AGREEMENT; ACKNOWLEDGE THAT YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM; AND REPRESENT AND WARRANT THAT YOU ARE LAWFULLY ABLE TO ENTER INTO CONTRACTS.

1. Description of the Program The purpose of the Program is to permit you to advertise our products on your site, social media channels, or other approved platforms and to earn commissions for Qualifying Purchases made by your end users.

2. Enrollment You must submit a complete and accurate Program application. We will evaluate your application and notify you of its acceptance or rejection. We may reject your application or terminate your account at any time in our sole discretion if we determine that your site/profile is unsuitable. Unsuitable sites include those that promote sexually explicit materials, violence, illegal activities, discrimination, or otherwise violate intellectual property rights or our brand guidelines.

3. Medical and Health Claims (Strictly Prohibited) As Summa Finland Oy sells dietary supplements and athletic performance products, strict compliance with marketing regulations is required. You explicitly agree to the following:

- You must not make any unverified health, curing, or medical claims about Summa Finland Oy products.

- You acknowledge that our products are dietary supplements and must not be promoted as products that diagnose, treat, cure, or prevent any disease.

- You should only share your genuine personal experiences and use the official brand messaging provided by us.

- Violation of this section will result in immediate termination of your account and forfeiture of all unpaid commissions.

4. Links and Tracking After acceptance, you may share your custom affiliate links or discount codes ("Special Links"). You may earn commissions only with respect to activity occurring directly through these Special Links. We are not obligated to pay commissions if you fail to properly format your links or if a customer fails to use your specific discount code at checkout.

5. Advertising Fees & Qualifying Purchases We will pay you commissions on Qualifying Purchases. A “Qualifying Purchase” occurs when a customer clicks your Special Link or uses your custom discount code and successfully completes a purchase that is shipped and paid for.

Qualifying Purchases exclude, and we will not pay commissions on:

- Purchases made by you or on your behalf (self-referrals).

- Purchases that are cancelled, returned, or refunded.

- Purchases made for resale or commercial use.

- Purchases generated through "Coupon Websites", deal-sharing forums (e.g., Reddit, SlickDeals), browser extensions, or any platform where the primary driver of traffic is discount-seeking behavior rather than genuine product endorsement.

- Purchases generated through Prohibited Paid Search Placement (e.g., bidding on Summa Finland Oy trademarked keywords on Google Ads).

6. Commission Payments and Taxes We will pay you commissions on a monthly basis for Qualifying Purchases. We will pay you approximately 30 days following the end of each calendar month, but we may accrue and withhold commissions until the total amount due to you is at least €50 (Fifty Euros). Payments will be made via PayPal, bank transfer, or other supported payment methods as determined by Summa Finland Oy.

Independent Contractor Status & Taxes: You and Summa Finland Oy are independent contractors. The commission paid to you is inclusive of all taxes. You are solely responsible for declaring, reporting, and paying any applicable income taxes, Value Added Tax (VAT), social security contributions, and any other similar fees in your own country of residence. Summa Finland Oy will not withhold any taxes from commissions paid to international individual affiliates. You agree to indemnify Summa Finland Oy against any tax liabilities, penalties, or interest arising from your failure to pay your local taxes.

7. Responsibility for Your Content You will be solely responsible for your site, social media profiles, and all materials that appear on them. You agree to defend, indemnify, and hold Summa Finland Oy harmless from all claims, damages, and expenses (including attorneys’ fees) relating to your content, your use of our trademarks, or your violation of any term of this Operating Agreement.

8. Order Processing and Policies We will process product orders placed by customers. All pricing, terms of sale, rules, policies, and operating procedures concerning customer orders, customer service, and product sales set forth on our website will apply to those customers.

9. Identifying Yourself as an Affiliate You will not misrepresent or embellish the relationship between us and you. Where required by applicable advertising laws (such as FTC guidelines in the US or consumer protection laws in the EU), you must clearly and conspicuously disclose your affiliate relationship with Summa Finland Oy (e.g., using hashtags like #ad, #sponsored, or #affiliate).

10. Modification We may modify any of the terms and conditions contained in this Operating Agreement at any time in our sole discretion by posting a revised agreement on our affiliate portal. Your continued participation in the Program following the effective date of any modification will constitute your binding acceptance of the change.

11. Limitation of Liability We will not be liable for indirect, incidental, special, consequential, or exemplary damages arising in connection with this Operating Agreement or the Program. Our aggregate liability arising with respect to this Operating Agreement will not exceed the total commissions paid or payable to you in the twelve months immediately preceding the event giving rise to the claim.

12. Governing Law and Disputes This Operating Agreement will be governed by the laws of Finland, without regard to the principle of conflict of laws. The courts of Helsinki, Finland shall have exclusive jurisdiction over any dispute relating to or arising in any way from the Program or this Operating Agreement.

13. Miscellaneous You may not assign this Operating Agreement without our express prior written approval. Our failure to enforce your strict performance of any provision will not constitute a waiver of our right to subsequently enforce such provision. Any Confidential Information provided to you by Summa Finland Oy must be kept completely confidential and used only for your performance under this agreement.
